Website Services Agreement 


Description of Project and Process

 

1. MicroNet referred to here as "Design Firm", will plan, design, and code a web site for the Organization referred to in this document as "Client", to the specifications in the attached SITE SPECIFICATION.

2. The estimate included here covers only that which is described in the SITE SPECIFICATION for the selected design package.  Additional work not covered in the Site Specifications will result in additional charges. Additional work is defined as the addition of pages, graphics, or other significant features, any graphic, page design, revisions to text content provided ready for publication, changes to elements which have been finalized, or significant changes in plan, scope, or direction of project.   

3. The client will provide web-ready graphics and logo in the size and format specified by the design layout, and content for the site.

4. Design Firm is entitled to reproduce samples of Client's web site in our portfolio and in any marketing materials.

5. Design Firm may use qualified subcontractors under our supervision for any or all work on this project.6. Issues that arise after the ‘go live' date that are not a result of a chamber-requested modification will be resolved at no charge to the chamber. Future design modifications and requests for functionality are at the chamber's expense, billed on a time and materials basis at $85/hour.  


ESTIMATE AND PAYMENT ARRANGEMENTS
1. Design Firm estimates that the cost for producing the site described in the attached SITE SPECIFICATION will be quoted by your ChamberMaster sales representative. 2. In the event of the cancellation of this assignment, or any delay of more than 90 days, we will invoice you for the greater of either: (1) all work completed up to the date of notification, based upon the percentage of the project finished, including expenses; or (2) 10% of the agreed-upon estimate plus expenses, and this contract shall be considered fulfilled by Design Firm. All incomplete work will remain the property of Design Firm. All payments already made will first be applied to these charges.


OTHER LEGAL AGREEMENTS
1. Design Firm will maintain the confidentiality of Client's source materials, technical and marketing plans and all other sensitive information.

2. Design Firm and Client agree that any dispute arising out of this Agreement shall first be resolved by mediation, if possible. This contract was entered into in Crow Wing County, Minnesota, and any necessary arbitration or litigation will take place in this county.

3. Upon full payment of all invoices due, copyright to page designs produced by Design Firm for Client shall belong to Client. Secondary materials created by Design Firm during production, including drafts, plans, graphic source files, and layouts, remain the sole property of Design Firm unless other arrangements are made.
4. Client is solely responsible for the editorial content of the material included on its website. Accordingly, Client agrees that it will defend and indemnify (hold harmless) Design Firm from any suit, demand, or claim resulting from the editorial content of the website.

5. Client represents to Design Firm and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Design Firm for inclusion in Client's web site are owned by Client, or that Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend Design Firm and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.

6. Design Firm will set up web hosting for Client.  However, Design Firm makes no guarantees as to minimum "up time", nor shall Design Firm be held responsible for any direct, indirect, special or consequential damages resulting from possible lapses in hosting services. Such possible damages include any lost profits or business interruption or loss of digital data.

7. Design Firm will not be liable to Client or to any third party for any damages arising from the use of web site.

8. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed sever-able from this agreement and shall not affect the validity and enforceability of any remaining provisions.

9. This Agreement may have attachments consisting of one or more initialed and dated CHANGE ORDERS, whose terms shall become part of this contract.

 

Site Specifications

Chamber will select one of ChamberMaster's Established layout options unless the chamber has purchased the Custom Layout option.  If the Custom Layout option is purchased, the Client will provided detailed layout specifications prior to the  layout build.

Client will provide graphics for the header and footer of the page (if desired) and text content for the page (text not included with the QuickLaunch Template Site package). ChamberMaster will provide the page design including menu or button design, inserting of links, and formatting of text content. If graphics are not available to the Chamber then stock photography from http://www.istockphoto.com/ can be used.  




QuickLaunch Template Package Designs include the following pages.

 

  • Home page with your photo(s) added.

-Font and colors to match the customers desired 'look'.
-Logo and Photo(s) used for the header and home page
-Pages as listed above.

Conditions and Notes:
Customer will be responsible for entering site content and additional links.



Established Layout, Enhance a Layout and Custom Layout Designs include the following pages.

    • Rotating photos in header (for selected layouts)

  • Up to five links on your nagivation that point directly to a category in your Business Directory.  Common link example names are:  Where to Dine, Where to Stay, Where to Play and Find a Realtor. 
  • Five Additional Page (page name and content specified by you).  Note: you may wish to have even more pages not outlined above on your site.  Most customers add their own additional pages and content using LiveEdit.  However if you'd prefer to have us build them as part of your design, an additional per page fee will be billed.

The Established Layout Package includes the following items. Please note that any other customizations of the layout or special requests would fall under the Enhance a Layout Design or a Custom website design.

     -Page content (text, photos, attachments or links to other pages or sites)
     -One proof and a second review provided before launch.
     -One Change Request form submission (after proof), includes up to five minor edits/changes.
    



The Enhance a Layout option includes all the same options as the Established Layout Package with additional personaliation as noted below. 

     -Two (2) additional pages for a total of seven (7) customer defined pages
     -One form with auto reply generation
     -Five (5) additional navigation links (these are links to other websites), for a total of 10
     -Five (5) additional business category links, for a total of ten (10)
     -One additional photo gallery containing five photos setup, for a total of two galleries.
     -One proof provided with two additional reviews.
     -Two submissions with up to five (5) minor edits/changes allowed using Change Request Form
     -Up to ten (10) third party widgets may be added


Conditions and examples:
All five changes must be submitted at one time.  Additional change requests may be billable.

Changes requested are limited to enhancements to the existing layout or adding a third party widget.  This does not include items requiring new development.

Examples of enhancements/changes: Additional global color changes, adding shading, custom buttons, variations to borders, header photo sizing...

Examples of widgets:  Google translator, visitor counter, lodging or reservation systems, mailing list forms, etc... 

 


The Custom Layout option will receive all the same options and pages as the Established Layout with a few additional options. The following is included.

     -Five (5) additional pages included, for a total of 10 
     -Two (2) forms with auto reply generation
     -Add as many navigation links to other websites as you wish
     -Add as many business directory category links as you wish
     -Add as many third party widgets as you wish. 
     -Add as many photo galleries as you wish.
     -Initial layout proof (prebuild) with the option of five (5) changes using Change Request Form.
     -First site review with the option of five (5) changes using Change Request Form
     -Second site review with the option of five (5) more changes using Change Request Form
     -Final site review before launch of site.


Conditions and examples:

All five changes must be submitted at one time.  Additional change requests may be billable.

Live Edit Content Management System & Hosting License Terms

 

1. Access:

Licensor shall provide access to LiveEdit Content Management Software for use by the Licensee for the Term of this Agreement.

2. Training and Support:

Licensor shall provide Training and Support services in relation to the use of LiveEdit Content Management software to the Licensee per the guidelines regarding Training and Support in Schedule A of Licensor's Software Licensing Terms.

3. Website and Email Hosting:

Includes:
2 GB disk space
5 GB transfer/mo.
25 e-mail accounts

4. Setup fee and Monthly Rate:

The monthly rate for the use of Live Edit as the Content Management System will be charged electronically by credit card or ACH. There is a one-time fee of $100 to transfer and setup the hosting site.
 
5. Updates and Upgrades:

Updates and upgrades to the LiveEdit software will be included at no additional charge.

6. Term: The services provided in this addendum shall remain in force between the parties for a minimum term of twelve (12) months from the Acceptance Date or until terminated as follows:

a) by mutual agreement;

b) upon sixty (60) days written notice by either party to the other.
